1. Agreement to Terms

By accessing or using the services provided by Raiden Stack, a division of Raiden Investments LLC ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Description of Services

Raiden Stack provides software development services including AI-powered SaaS products available via subscription, custom web application development on a project basis, API development and integration services, and product design and UX consulting.

3. Account Creation and Responsibilities

For SaaS products, you may be required to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.

4. Subscription Terms

  • SaaS products are offered on monthly and annual subscription plans ranging from $19 to $299 per month depending on the product and tier.
  • Subscriptions automatically renew at the end of each billing period unless canceled before the renewal date.
  • You may cancel your subscription at any time through your account settings. Access continues through the end of the current billing period.
  • Price changes will be communicated at least 30 days in advance.

5. Custom Development Terms

  • Custom development projects are scoped through a discovery process at no cost to the client.
  • Project pricing is agreed upon before work begins and documented in a separate project agreement.
  • Payment is structured around project milestones as defined in the project agreement.
  • Changes to project scope may result in adjusted timelines and pricing.
  • Intellectual property for custom deliverables transfers to the client upon receipt of final payment.

6. Acceptable Use

You agree not to use our services to:

  • Violate any applicable laws or regulations
  • Infringe on the intellectual property rights of others
  • Distribute malware, spam, or other harmful content
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Use our services for any fraudulent or deceptive purpose

7. Intellectual Property

Raiden Stack retains all rights to proprietary frameworks, tools, libraries, and methodologies used in the development process. The client owns the custom deliverables, including application code, design assets, and content created specifically for their project, upon receipt of final payment. The client retains full ownership of their data at all times.

8. Limitation of Liability

To the maximum extent permitted by law, Raiden Stack and Raiden Investments LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or related to your use of our services. Our total liability shall not exceed the amount paid by you to us in the twelve months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless Raiden Stack, Raiden Investments LLC, and their officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services, your violation of these terms, or your violation of any rights of a third party.

10. Dispute Resolution

These Terms of Service are governed by the laws of the State of New Mexico. Any disputes arising from or relating to these terms or our services shall be resolved in the state or federal courts located in Bernalillo County, New Mexico. Both parties consent to the personal jurisdiction of these courts.

11. Modification of Terms

We reserve the right to update or modify these Terms of Service at any time. Changes will be posted on this page with an updated "Last updated" date. Your continued use of our services after changes are posted constitutes acceptance of the modified terms.
